Terms and Conditions for Tervuren

Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using the Tervuren software application (the “Service”) operated by Q4 Impact Group (“us”, “we”, or “our”).

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.

Service

Tervuren, both software and hardware, are explicitly intended for the purposes of signing in and out visitors, confirming MSHA required training, providing sanctioned training, and maintaining a record log of visitors. Any violation of this agreement will result in termination of the Service described. 

We retain the right to modify this Service at any time.

Accounts

When you create an account with us, you agree that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information will result in the immediate termination of your account on the Service.

Exceptions to this clause include sanctioned school tours, demonstrations, and educational experiences, familial visitors of employees, and anyone given special status by the host to allow minors to use our Service. The host assumes all responsibility for the minor while they are signed in. 

It is the responsibility of the user to maintain confidentiality of their own account and password. No liability is accepted for shared or lost information and may result in termination of the Service. It is recommended that users change their passwords every six months to ensure security. 

Use License

Subject to your compliance with these Terms, we grant you a non-transferable, non-exclusive, revocable, limited license to use and access the Service. Violations of this agreement may result in termination of the Service. 

Prohibited Uses

Usage of Tervuren equipment and software is to be limited to its intended use. Allowed usage is:

  1. Use of the Tervuren sites to access the Admin Dashboard, the Check-in page, the Training Sections, the Video sections, and the Training Agreement. 

Prohibited usages are: 

  1. Web browsing.
  2. Photography. 
  3. Downloading and usage of additional applications, not limited to social media applications, entertainment applications, and gambling applications.
  4. Illegal or illicit use. 

Violation of the above agreement will result in termination of service. 

User Contributions

The Service may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features that allow users to post, submit, publish, display, or transmit to other users content or materials on or through the Service.

All User Contributions must comply with the Content Standards set out in these Terms of Conditions.

Content Standards

Any content provided by the user will be strictly regulated for workplace appropriateness. Compliance with this is required to maintain an account with our Service. 

The accepted standard is as follows:

  1. Accounts made must provide accurate information, including but not limited to your full name, email address, company name, and identification numbers. 
  2. All content provided must be workplace appropriate.
  3. Illicit or provocative additions are not permitted.
  4. Hate speech, sexual, suggestive, or violent content are not permitted. 

Violations of this agreement will result in immediate termination of the account. 

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Q4 Impact Group and its licensors. All rights reserved. Unauthorized use of Tervuren or Q4 Impact Group intellectual property may result in immediate termination of the Service and could result in legal repercussions. 

Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. 

This process does not delete your data. You may request a complete deletion of your data, however, for cases in which the termination is related to a lawful offense, we are not required to delete your data. 

Indemnification

You agree to defend, indemnify and hold harmless Q4 Impact Group and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of: 

  1. Your use and access of the Service, by you or any person using your account and password. 
  2. A breach of these Terms.

Limitation Of Liability

In no event shall Q4 Impact Group, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  1. Your access to or use of or inability to access or use the Service; 
  2. Any conduct or content of any third party on the Service; 
  3. Any content obtained from the Service; and 
  4. Unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed its essential purpose.

Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the State in which the Service is installed, without regard to its conflict of law provisions.

Changes

We reserve the right to modify these Terms at any time. You will be notified of revisions 30 days before they go into effect by the email address of your host account on file. Material changes are included in this agreement and what constitutes a material change is determined solely by Q4 Impact Group.
